3. Client Responsibilities

4. Intellectual Property
- Websynth retains ownership of any proprietary tools, templates, or code that are not specifically customized for the client. This means that unless explicitly transferred or licensed, the original tools and code remain the property of Websynth, allowing us to reuse, modify, or distribute them as needed. Clients receive rights only to the customized deliverables, not the underlying proprietary resources.
- Upon full payment, clients will obtain the rights to the final deliverables, allowing them to use, reproduce, and distribute the work for their intended purposes. This transfer of rights ensures that clients can fully utilize the deliverables without restrictions, providing clarity and peace of mind regarding their ownership and usage rights for the completed project.
- Any third-party assets utilized in this project will be properly licensed, ensuring compliance with all relevant legal requirements. 5. Payments

6e. Approval for Final Version
- The client is required to give formal approval of the final version prior to its deployment or publication. No deployment or publication will proceed without this official approval.
- Final approval indicates that the client is satisfied with the work and accepts it “as is,” confirming that all aspects meet their expectations and no further modifications are needed. This approval signifies the completion of the project and the client’s formal acceptance of the final deliverable.
6f. Final Deployment and Acceptance
- Once approved, the final version will be deployed or published according to the agreed-upon plan, ensuring that all necessary steps are completed smoothly and efficiently to meet the project timeline and quality standards.
- No further revisions will be made unless a new agreement is established for additional work. Any requested modifications beyond the current scope will require a separate agreement and may involve additional charges. 6g. Delay in Approvals

- Websynth will deliver all completed work along with any related materials, ensuring you receive everything needed for your project. We are committed to providing thorough and timely deliveries, including files, documentation, and supporting resources, to meet your expectations and facilitate seamless integration or further development.
10. Warranty and Liability
Clients agree to indemnify and hold harmless Websynth from any claims, damages, or liabilities arising out of the use of the delivered website. This includes, but is not limited to, claims related to intellectual property infringement, copyright violations, or damages caused by third-party content embedded or linked on the site. Clients acknowledge that they are solely responsible for the website’s content, including ensuring its legality, originality, and compliance with applicable laws. They accept full liability for any legal issues or disputes resulting from the website’s use or publication.
